Personnelgraph Terms of Service

These Terms of Service (“Terms”) govern the access to and use of the Personnelgraph background screening platform (the “Platform”) by business customers (“Customer,” “you,” or “your”).


The Platform is operated by TrueFingerprints LLC, a Delaware limited liability company (“Personnelgraph,” “we,” “us,” or “our”).


By accessing or using the Platform, or by executing an order form referencing these Terms (an “Order Form”), Customer agrees to be bound by these Terms.


1. Scope of These Terms
These Terms apply solely to business customers using the Personnelgraph Platform.
They do not apply to general visitors of the Personnelgraph website or to consumers requesting access to or disputing their reports.
In the event of a conflict between these Terms and an Order Form, the Order Form controls with respect to commercial terms only.


2. Definitions
Capitalized terms used but not defined in these Terms have the meanings set forth in the applicable Order Form.


3. Eligibility and Permissible Use


3.1 Eligible Users
The Platform may only be used by U.S. employers or entities acting on behalf of U.S. employers for lawful employment-related purposes.


3.2 Permissible Purpose
Customer represents and warrants that all use of the Platform and any consumer reports obtained is for a permissible purpose under the Fair Credit Reporting Act (“FCRA”) and applicable state laws.


3.3 Prohibited Use
Customer may not:
Use the Platform for personal, consumer, or non-employment purposes
Use the Platform for unlawful discrimination
Resell, sublicense, or provide access to the Platform to third parties
Attempt to reverse engineer or misuse the Platform or CourtScopeAI


4. Consumer Reporting Agency Status
Personnelgraph operates as a Consumer Reporting Agency (“CRA”) as defined under the FCRA.


Customer acknowledges that:
Personnelgraph provides consumer reports as defined under the FCRA
Customer is solely responsible for compliance with employer obligations under the FCRA and applicable state laws
Personnelgraph does not provide legal advice.


5. Platform License
Subject to these Terms and any applicable Order Form, Personnelgraph grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform during the subscription term solely for permitted purposes.


All rights not expressly granted are reserved by Personnelgraph.


6. CourtRequests and CourtScopeAI


6.1 CourtRequests
A “CourtRequest” is a criminal court record request initiated through the Platform.
CourtRequests are processed based on information provided by Customer and third-party court availability.


6.2 CourtScopeAI
CourtScopeAI is an automated system designed to assist in identifying potentially relevant jurisdictions and to determine appropriate courts based on information provided.


Customer acknowledges that:
CourtScopeAI does not guarantee identification of all relevant jurisdictions
Court availability, data quality, and jurisdictional rules vary
Criminal records may be incomplete, delayed, sealed, expunged, or unavailable


7. No Guarantee of Results
Personnelgraph does not guarantee that:
Any report is complete, accurate, or up to date
All criminal records will be identified
Courts will return results within a specific timeframe
Customer remains responsible for evaluating reports and making employment decisions in compliance with applicable law.


8. Customer Responsibilities
Customer is solely responsible for:
Obtaining legally compliant authorizations
Providing pre-adverse and adverse action notices
Making final employment decisions
Complying with all federal, state, and local laws


9. Fees and Payment
Fees are set forth in the applicable Order Form.
Personnelgraph may suspend access to the Platform for:
Non-payment
Suspected misuse
Suspected violations of the FCRA or applicable law
Court fees charged by courts are pass-through costs billed separately.


10. Suspension and Termination
Personnelgraph may suspend or terminate access:
For material breach of these Terms
For non-payment
For suspected unlawful or non-compliant use
Upon termination, Customer’s license to use the Platform immediately ceases.


11. Confidentiality
Each party agrees to protect the other party’s confidential information using reasonable safeguards and to use such information solely for purposes permitted under these Terms.


12. Intellectual Property
The Platform, CourtScopeAI, software, documentation, and all related intellectual property are owned by Personnelgraph or its licensors.


Customer acquires no ownership rights.


13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
PERSONNELGRAPH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
PERSONNELGRAPH’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO PERSONNELGRAPH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL PERSONNELGRAPH BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.


15. Indemnification
Customer agrees to indemnify and hold harmless Personnelgraph from claims arising from:
Customer’s misuse of the Platform
Customer’s violation of the FCRA or other laws
Customer’s employment decisions


16. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration, and Customer waives the right to participate in a class action.


17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.


18. Modifications
Personnelgraph may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
